Terms of Service

Please read these terms carefully before using Checkout Essentials

These Terms of Service ("Terms") govern your access to and use of Checkout Essentials ("Service", "App", "we", "us", or "our"), a Shopify checkout optimization application provided by EvoSolve Solutions sp. z o.o..

By installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Acceptance of Terms

By accessing or using Checkout Essentials, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, along with our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms. In such cases, "you" and "your" refer to both you as an individual and the entity you represent.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use this Service. By using the Service, you represent and warrant that you meet this age requirement.

2. Description of Service

Checkout Essentials is a Shopify application that provides checkout optimization tools designed to enhance your e-commerce store's checkout experience. Our Service includes, but is not limited to:

  • Urgency Timer: Customizable countdown timers to create urgency and encourage purchase completion
  • Trust Badges: Configurable trust indicators and security badges to build customer confidence
  • Stock Banner: Real-time or customized stock level displays to drive conversion
  • Multi-language Support: Localization capabilities for international stores
  • Checkout Extensions: Shopify-native checkout UI extensions compatible with all checkout types

The Service is provided as a Software-as-a-Service (SaaS) application through the Shopify App Store and is designed to integrate seamlessly with Shopify's checkout infrastructure, including Shopify Plus and Shop Pay.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes that may affect their use of the Service.

3. Account Registration

To use Checkout Essentials, you must have an active Shopify store account. Installation and authentication are managed through Shopify's OAuth system, and you agree to:

  • Provide accurate, current, and complete information during the installation process
  • Maintain the security of your Shopify account credentials
  • Promptly notify us of any unauthorized access or security breaches
  • Accept responsibility for all activities that occur under your account

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. We are not liable for any loss or damage arising from unauthorized access to your account.

4. Subscription and Billing

4.1 Subscription Plans

Checkout Essentials offers subscription-based pricing plans as displayed on our website and the Shopify App Store. Current pricing includes:

  • Monthly Plan: Billed monthly with access to all features
  • Yearly Plan: Billed annually at a discounted rate

Prices are displayed in USD and are subject to change. We will provide at least 30 days' notice before any price increases affecting your current subscription.

4.2 Free Trial

We may offer a free trial period for new users. During the trial, you have access to all Service features. At the end of the trial:

  • Your subscription will automatically convert to a paid plan unless cancelled before the trial ends
  • You will be charged according to the plan you selected during installation
  • Trial periods may vary and are subject to change

4.3 Billing and Payment

All payments are processed securely through Shopify's billing system. By subscribing, you authorize Shopify to charge your designated payment method according to your subscription plan.

  • Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan)
  • All fees are exclusive of applicable taxes, which will be added where required by law
  • Failed payments may result in suspension or termination of your access to the Service

4.4 Refunds

We offer a 30-day money-back guarantee for new subscribers. If you are not satisfied with the Service, you may request a full refund within 30 days of your initial payment. Refund requests must be submitted via email to support@checkoutessentials.com.

Refunds for subsequent billing periods are provided at our discretion. Partial-month refunds are not available for monthly subscriptions.

4.5 Cancellation

You may cancel your subscription at any time through your Shopify admin panel or by contacting our support team. Upon cancellation:

  • Your access to the Service will continue until the end of your current billing period
  • No refunds will be provided for unused portions of your subscription (except as noted in our refund policy)
  • Your checkout extensions will be removed from your store at the end of the billing period

5. User Responsibilities

As a user of Checkout Essentials, you agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms
  • Comply with all applicable laws, regulations, and Shopify's Terms of Service
  • Not use the Service for any fraudulent, deceptive, or misleading purposes
  • Ensure that any content you configure (messages, banners, timers) is accurate and not misleading to customers
  • Not attempt to reverse engineer, decompile, or disassemble the Service
  • Not interfere with or disrupt the Service or its underlying infrastructure
  • Not use the Service to transmit malware, viruses, or harmful code
  • Not resell, sublicense, or redistribute the Service without our written consent

You are solely responsible for the content and configurations you create using the Service, including ensuring compliance with consumer protection laws in your jurisdiction.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including all software, code, designs, graphics, text, and other materials, is owned by EvoSolve Solutions sp. z o.o. or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Checkout Essentials and related logos, trademarks, and service marks are the property of EvoSolve Solutions sp. z o.o.. You may not use these marks without our prior written permission.

6.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

This license does not include any right to:

  • Modify, adapt, or create derivative works of the Service
  • Copy, reproduce, or distribute the Service or its components
  • Use the Service for purposes other than those intended
  • Remove or alter any proprietary notices or labels

6.3 Your Content

You retain all rights to any content you create or configure using the Service (such as custom messages and settings). By using the Service, you grant us a limited license to use, display, and process your content solely for the purpose of providing the Service.

7. Data Privacy

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key points regarding data handling:

  • We process data in accordance with the General Data Protection Regulation (GDPR) and applicable EU data protection laws
  • We access only the Shopify data necessary to provide the Service
  • We do not sell your personal data or your customers' data to third parties
  • We implement appropriate technical and organizational security measures to protect your data

For EU/EEA users, EvoSolve Solutions sp. z o.o. acts as a data processor for store and checkout data, with you as the data controller.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

To the maximum extent permitted by applicable law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of any content or results
  • Warranties that the Service will meet your specific requirements or expectations

We do not guarantee any specific results, including increased conversions, sales, or revenue, from using the Service. Results may vary depending on various factors outside our control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVOSOLVE SOLUTIONS SP. Z O.O. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Costs of procurement of substitute services
  • Any damages arising from or related to your use or inability to use the Service

In no event shall our total cumulative liability for all claims arising from or related to these Terms or the Service exceed the greater of: (a) the total fees paid by you to us during the twelve (12) months preceding the claim, or (b) one hundred euros (EUR 100).

These limitations apply regardless of the legal theory upon which your claim is based, whether in contract, tort (including negligence), strict liability, or otherwise.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless EvoSolve Solutions sp. z o.o., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights, including intellectual property rights
  • Any content or configurations you create using the Service

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

11. Termination

11.1 Termination by You

You may terminate your use of the Service at any time by uninstalling the app from your Shopify store and cancelling your subscription through Shopify's admin panel.

11.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Non-payment of subscription fees
  • Violation of applicable laws or regulations
  • Fraudulent or abusive use of the Service
  • At our sole discretion, with reasonable notice

11.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service will immediately cease
  • All checkout extensions will be removed from your store
  • We may delete your account data after a reasonable retention period
  • Provisions that by their nature should survive termination will remain in effect, including intellectual property, disclaimers, limitations of liability, and indemnification

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Warsaw, Poland.

For users in the European Union, nothing in these Terms shall affect your rights under applicable EU consumer protection laws, including:

  • The right to bring legal proceedings in your country of residence
  • Mandatory consumer protection provisions of your local law
  • The right to seek redress through the EU Online Dispute Resolution platform (https://ec.europa.eu/consumers/odr)

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date at the top of this document
  • Sending an email notification to your registered email address
  • Displaying a notice within the app

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

We recommend reviewing these Terms periodically to stay informed about any updates.
